Terms of Service

1. Acceptance

By creating a Vasuli account or using the Service, you agree to these Terms and our Privacy Policy. If you are signing up on behalf of a business, you represent that you are authorised to bind that business.

2. What Vasuli does

Vasuli is a software tool that helps MSMEs track invoices, send payment reminders through WhatsApp/SMS/email, generate payment links, and initiate MSME Samadhaan complaints. Vasuli is not a law firm, collection agency, bank, or payment processor. We do not provide legal advice. Any legal notices generated via the platform are templates for your review — you are responsible for their accuracy and use.

3. Your account

You must provide a valid Indian mobile number and accurate business information. You are responsible for all activity under your account and for keeping your OTP, session, and device secure. Notify us immediately at support@vasuli.io if you suspect unauthorised access.

4. Acceptable use

  • Use the Service only for your own bona-fide receivables against buyers you have a legitimate commercial relationship with.
  • Do not upload false, misleading, defamatory, or fraudulent invoices.
  • Do not use Vasuli to harass any person, or to contact individuals who have not transacted with your business.
  • Do not attempt to probe, scan, or reverse-engineer the Service, or abuse the APIs in a way that degrades service for others.
  • Comply with all applicable Indian laws, including the Information Technology Act, GST, and TRAI commercial-messaging rules.

5. Plans, billing, and refunds

  • Vasuli offers free (Starter) and paid plans (Growth, Pro). Current pricing is shown in-app.
  • Subscriptions auto-renew on the cycle you choose (monthly or yearly) via our payment processor, Razorpay. You can cancel auto-renewal at any time from Settings; cancellation takes effect at the end of the current cycle.
  • Fees are non-refundable except where required by law. If a charge is raised in error, contact us within 14 days for review.
  • If payment fails, Razorpay will retry automatically. After grace period we may downgrade your plan to Starter; your data is preserved.
  • GST will be added where applicable under Indian tax law.

6. Messaging & WhatsApp

Where you use Vasuli to send WhatsApp, SMS, or email reminders to buyers, you confirm that you have a legitimate commercial relationship with those recipients and have obtained any consent required under TRAI/DLT rules. Some channels may require a business-verified sender ID; you are responsible for providing accurate information to the Business Service Provider (e.g., Wati, MSG91).

7. Samadhaan & legal notices

Documents generated for MSME Samadhaan filings or Section 8 legal notices are templates. You must review them for accuracy before submitting to any authority. Vasuli is not liable for the outcome of any legal or quasi-legal proceeding.

8. Intellectual property

Vasuli and its logos, designs, and code are owned by us. You keep ownership of your invoice, buyer, and business data. You grant us a limited licence to process that data solely to operate the Service for you, as described in the Privacy Policy.

9. Availability

We aim for high uptime but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (Supabase, Razorpay, Wati, MSG91, Firebase), and force majeure events may affect availability.

10. Disclaimers

The Service is provided “as is”. To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

Our total liability for any claim arising out of or relating to the Service is limited to the subscription fees you paid to Vasuli in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue or lost recoveries.

12. Termination

You can stop using the Service and delete your account at any time by writing to support@vasuli.io. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unlawful purposes.

13. Governing law

These Terms are governed by the laws of India. Exclusive jurisdiction for any dispute lies with the courts at the registered office of Vasuli.

14. Changes

We may update these Terms. Material changes will be announced via an in-app notice or email. Your continued use of the Service after such notice constitutes acceptance.
